 Intellectual Property Clause

(For Sonja Roth – Interior Design Services Agreement)

(For Sunette Herman - Architectural drawings)

1. Ownership of Intellectual Property

1.1 All intellectual property rights, including but not limited to copyright, design rights (whether registered or unregistered), and any related rights in all drawings, plans, sketches, specifications, visualisations, mood boards, presentations, bespoke artwork, and other design materials produced by Sonja Roth (“the Designer”) in connection with the Project (“the Design Documents”) shall remain the sole property of the Designer.

1.2 Nothing in this Agreement shall operate to assign or transfer any intellectual property rights to the Client unless expressly agreed in writing and signed by both parties.

2. Licence to Use

2.1 Upon full payment of all fees due under this Agreement, the Client is granted a non-exclusive, non-transferable licence to use the Design Documents solely for the purposes of completing the Project at the property address specified in this Agreement.

2.2 The licence granted:

Applies only to the specific property and project for which the Design Documents were created;

Does not permit reuse, replication, adaptation, or application of the Design Documents at any other property or development;

Does not permit resale, distribution, or commercial exploitation of the Design Documents.

2.3 The licence shall automatically terminate if payment is not made in full.

3. Restrictions on Use

3.1 The Client shall not reproduce, modify, share, or distribute the Design Documents to third parties other than contractors or consultants directly engaged for the Project and only for the purpose of implementing the design at the specified property.

3.2 The Client shall not use the Designer’s concepts, bespoke artwork, or signature design elements for replication in other properties or developments without prior written consent and agreement of additional fees.

4. Bespoke Artwork and Custom Pieces

4.1 Copyright and any applicable design rights in bespoke artwork or custom-designed pieces created by the Designer shall remain with the Designer unless expressly assigned in writing.

4.2 Where physical artwork is purchased by the Client, ownership of the physical piece does not transfer copyright or reproduction rights.

4.3 The Designer reserves the right to reproduce images of bespoke artwork for portfolio, marketing, exhibition, or publication purposes.

5. Moral Rights

5.1 The Designer asserts the right to be identified as the author of the Design Documents in accordance with the Copyright, Designs and Patents Act 1988.

6. Photography and Publicity

6.1 The Designer retains the right to photograph the completed Project and to use such images for portfolio, website, marketing, awards submissions, editorial features, and promotional purposes, subject to reasonable client confidentiality requirements.
